Introduction

Welcome to the Privacy Policy and Notice of 10x Genomics, Inc. (privacy notice). 10x Genomics, Inc. (also referred to as; 10x / the Company / we / us / our) respects your privacy and we are committed to protecting your personal data in accordance with applicable data protection laws, including but not limited to the EU’s General Data Protection Regulation (GDPR) and the California Consumer Privacy Act of 2018 as amended by the California Privacy Rights Act of 2020 (collectively, CCPA). To the extent that specific privacy laws apply in relation to the processing of personal data in certain locations, this privacy notice is supplemented by Additional (region, country or US state-specific) Privacy Terms in relation to such processing.

This privacy notice consists of two parts, part A. and part B.

  • Part A will inform you as to how we collect and process your personal data when you interact with us (including but not limited to when you visit our website) and tell you about our policy for the protection of your personal data. In addition, part A includes Additional Privacy Terms, as noted above. If there are any inconsistencies between the Additional Privacy Terms and the main privacy notice, the Additional Privacy Terms prevail.
  • Part B supplements part A and will inform you as to the specifics of how we protect your personal data in connection with our 10x Genomics Cloud Services (e.g., Cloud Analysis, Cloud Instruments, Custom Panel Designer etc.), if you are a customer or user of our 10x Genomics Cloud services. This privacy notice will also provide information about how we collect, use and share your personal data in these circumstances.

PART A. HOW WE PROTECT YOUR PERSONAL DATA

1. IMPORTANT INFORMATION AND WHO WE ARE

Purpose of this privacy notice

This privacy notice aims to give you information on how we collect and process your personal data through your interactions with us, including any data you may provide through this website, when you, for example:

  • purchase one of our products or services and/or when we provide products or services to you;
  • fill out any on-line order form;
  • complete any customer or visitor registration, such as:
    • registering to participate in any of our interactive services including 10x University; and/or
    • subscribing to any 10x Genomics communications including our 10x Blog
  • submit any on-line enquiries or requests for product and/or service information including via our Contact Us page;
  • complete any third-party forms such as Eventbright or Zoom Meetings, or have your conference badge scanned for 10x-related events; or
  • make any enquiries or submissions in response to potential or actual 10x Genomics career opportunities.

It is important to note that our website is not intended for children, we do not knowingly provide products or services to children, and we do not knowingly collect personal data relating to children. If we become aware that an individual under the age of 18 has provided their personal data through our website or services, we will take the necessary steps to delete it as soon as possible. Despite this prohibition, it is possible that we may sometimes be given information about minors in the regular course of conducting business in compliance with applicable laws, e.g., while handling samples from our customers, or through use of our products and services by our customers and partners.

It is also important that you read this privacy notice together with any other privacy notice or fair processing notice we may provide on specific occasions when we are collecting or processing personal data about you (in particular in relation to any job application procedure) so that you are fully aware of how and why we are using your personal data. This privacy notice supplements the other notices and is not intended to override them.

We are made up of different legal entities, details of which can be found here. This privacy notice is issued on behalf of the 10x Genomics Group so when we mention 10x Genomics / the Company / we / us / our in this privacy notice, we are referring to the relevant company in the 10x Genomics Group responsible for processing your personal data. We will let you know which entity will be the controller for your personal data when you purchase a product or service with us. 10x Genomics, Inc. is the controller of and is responsible for this website.

We have appointed a data privacy manager who is responsible for overseeing questions in relation to this privacy notice. If you have any questions about this privacy notice, including any requests to exercise your legal rights, please contact the data privacy manager using the details set out below.

2. THE DATA WE COLLECT ABOUT YOU

Personal data (also referred to as personal information under applicable privacy laws), means any information about an individual from which that person can be identified. It does not include data where the identity has been removed (anonymous data).

We may collect, use, store and transfer different kinds of personal data about you which we have grouped together follows:

  • Identity Data includes first name, maiden name, last name, username or similar identifier, marital status, title, date of birth and gender.
  • Contact Data includes billing address, delivery address, email address and telephone numbers.
  • Financial Data includes bank account and payment card details.
  • Transaction Data includes details about payments to and from you and other details of products and services you have purchased from us.
  • Technical Data includes internet protocol (IP) address, your login data, browser type and version, time zone setting and location, browser plug-in types and versions, operating system and platform and other technology on the devices you use to access this website.
  • Profile Data includes your username and password, purchases or orders made by you, your interests, preferences and any feedback or surveyed responses. This category may also include employment and education history in the event that this personal data is provided to us in the case of career submissions.
  • Usage Data includes information about how you use our website, products and services.
  • Marketing and Communications Data includes your preferences in receiving marketing from us and our third parties and your communication preferences.

We also collect, use and share Aggregated Data such as statistical or demographic data for any purpose. Aggregated Data may be derived from your personal data but is not considered personal data under any applicable data protection law as this data has been de-identified and does not directly or indirectly identify you. For example, we may aggregate your Usage Data to calculate the percentage of users accessing a specific feature of our website. We may use the Aggregated Data for the general purpose of evaluating our market and/or business trends, our customer demographics, interests and behaviour, our past and future product or service offerings and/or pricing, or other aspects of our business. We may share such Aggregated Data with third parties, including but not limited to our service providers and business partners, for these same purposes. We may also sell or license such Aggregate Data to one or more third-parties for use in a similar manner. However, if we combine or connect Aggregated Data with your personal data so that it can directly or indirectly identify you, we treat the combined data as personal data (and not Aggregated Data) which will be used in accordance with this privacy notice.

It is important to note that, with the exception of cases where personal data is provided to us in the course of an employment application, we do not collect any Special Categories of Personal Data about you (this includes details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health and genetic and biometric data), or about criminal convictions and offences.

If you fail or decline to provide personal data

Where we need to collect personal data by law, or under the terms of a contract we have with you and you fail or decline to provide that data when requested, we may not be able to perform the contract we have or are trying to enter into with you (for example, to provide you with goods or services). In this case, we may have to cancel a product or service you have with us, but we will notify you if this is the case at the time.

3. HOW IS YOUR PERSONAL DATA COLLECTED?

We use different methods to collect personal data from and about you including through:

  • Direct interactions. You may give us your Identity, Contact and Financial Data by filling in forms or by corresponding with us by post, phone, email or otherwise. This includes without limitation, any personal data you provide when you: fill out any on-line order form; create an account for our website, including completing any customer or visitor registration; submit an on-line enquiries or requests for product and/or service information; apply for our products or services; discuss any products/ services, engagements or career opportunities with us; and/or request marketing to be sent to you.
  • Automated technologies or interactions. As you interact with us (through our website or otherwise), we may automatically collect Technical Data about your equipment, browsing actions and patterns. We collect this personal data by using cookies, server logs and other similar technologies. We may also receive Technical Data about you if you visit other websites employing our cookies.
  • Third parties or publicly available sources. We may receive personal data about you from various third parties and public sources as set out below:
  • Technical Data from the following parties:
    • analytics providers such as Google based outside the European Region (for clarity the reference to European Region collectively includes the European Economic Area (EEA), the United Kingdom, and Switzerland); and
    • advertising networks such as Google AdWords Remarketing based outside the European Region;
  • Contact, Financial and Transaction Data from providers of technical, payment and delivery services;
  • Identity and Contact Data from third party data sources or aggregators;
  • Identity and Contact Data from publicly availably sources such as published works, including but not limited to printed and electronic publications. We additionally source publications from grant and funding databases, preprint servers, conference and symposium programs, and public directories.

4. HOW WE USE YOUR PERSONAL DATA

We will only use your personal data in accordance with this notice and applicable data protection laws. Most commonly, we will use your personal data in the following circumstances:

  • Where we need to perform the contract we are about to enter into or have entered into with you.
  • Where it is necessary for our legitimate interests (or those of a third party) and your interests and fundamental rights do not override those interests.
  • Where we need to comply with a legal or regulatory obligation.

Other than in relation to sending marketing communications to you via email or text message, generally we do not rely on consent as a legal basis for processing your personal data.

You have the right to withdraw consent to marketing at any time by contacting us.

Marketing

We strive to provide you with choices regarding certain personal data uses, particularly around marketing and advertising. We have established a privacy and preferences centre where you can view and make certain decisions about your personal data use.

Promotional offers from us

We may use your Identity, Contact, Technical, Usage and Profile Data to form a view on what we think you may want or need, your location, or what may be of interest to you. This is how we and our third-party business partners decide which 10x Genomics products, services and offers may be relevant for you (we call this marketing).

You will receive marketing communications from us if you have requested information from us or purchased goods or services from us and you have not opted out of receiving that marketing.

Opting out

You can ask us to stop sending you marketing messages at any time by logging into the website and checking or unchecking relevant boxes to adjust your marketing preferences or by following the opt-out links on any marketing message sent to you or by contacting us at any time.

Where you opt out of receiving these marketing messages, this will not apply to personal data provided to us as a result of a product/service purchase or other transactions.

Our website may utilize “cookies” in order for us to learn how our website is used, which allows us to analyze and improve the website’s performance, navigation, and ease of use. These cookies are files stored on your computer by our website that are accessible by our website. We may also use cookies when you register, order, or submit requests for information through the website, that allow our website to identify your computer on return visits, and help us to improve your experience in using our website.

Please note that we may process your personal data without your knowledge or consent, in compliance with the above rules, where this is required or permitted by law.

5. DISCLOSURES OF YOUR PERSONAL DATA

We may share your personal data with the parties set out below for the purposes set out in the table in paragraph 4 above.

Internal parties: Other companies in the 10x Genomics Group acting as joint controllers or processors and who are based in the US.

External parties:

  • Service providers based in the US who provide IT and system administration services.
  • Professional advisers acting as processors or joint controllers including lawyers, bankers, auditors and insurers based in the US and in the European Region who provide consultancy, banking, legal, insurance and accounting services.
  • United States revenue & customs, regulators and other authorities acting as processors or joint controllers based in the United States who require reporting of processing activities in certain circumstances.
  • Third parties, including service providers and business partners whom we choose to work with for marketing communications, promoting and selling our products and services, or customer and prospect data management.
  • Third parties to whom we may choose to sell, transfer, or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. If a change happens to our business, then the new owners may use your personal data in the same way as set out in this privacy notice.

We may also disclose personal data to comply with applicable law, a valid court order, a judicial proceeding, subpoenas, warrants or in connection with any legal process.

We require all third parties to keep your personal data secure, be bound by non-disclosure obligations, and to process your personal data in accordance with applicable laws. Service providers are allowed to use your personal data only as instructed by us.

6. INTERNATIONAL TRANSFERS

We are a global company with our headquarters in the USA. To support our global operations, we may process, store, transfer and access personal data across international borders, including to and from other countries in which we operate. This means that your personal data may be stored or processed outside of your home country, in jurisdictions that may not guarantee the same level of protection of personal data as the country in which you reside. We are committed to protecting your privacy and have put in place lawful transfer mechanisms and adequate safeguards, in accordance with applicable legal requirements, to protect your data when it is transferred internationally.

For European Region residents, whenever we transfer your personal data to any country other than within the European Region, we ensure a satisfactory level of protection is afforded to it by implementing at least one of the following safeguards:

  • We will transfer your personal data to countries that have been deemed to provide an adequate level of protection for personal data by the EU Commission or in the case of UK data, by the UK Secretary of State.
  • Where we use certain service providers outside of the European Region, we may use specific Standard Contractual Clauses approved by the European Commission, and/or the UK International Data Transfer Addendum, which give personal data the same protection it has in the European Region.
  • Where we use providers that are also based in the U.S., we may transfer personal data to them if they are certified under the EU – U.S. Data Privacy Framework or alternatively we have appropriate contractual provisions in place.

7. DATA SECURITY

We have put in place appropriate security measures and reasonable technical and organisational measures to protect your personal data and to prevent your personal data from being accidentally lost, intercepted, used or accessed in an unauthorised way, altered or disclosed.

In addition, we limit access to your personal data to those employees, agents, contractors and other third parties who have a business need to know. They will only process your personal data on our instructions, and they are subject to a duty of confidentiality.

However, you should know that neither we nor any other Internet website can fully eliminate these security risks and 10x Genomics shall not be liable for any such unauthorised access.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator of a breach where we are legally required to do so.

8. DATA RETENTION

How long will you use my personal data for?

We will only retain your personal data for as long as necessary to fulfil the purposes we collected it for, including for the purposes of satisfying any legal, accounting, or reporting requirements.

To determine the appropriate retention period for personal data, we consider the amount, nature, and sensitivity of the personal data, the potential risk of harm from unauthorised use or disclosure of your personal data, the purposes for which we process your personal data and whether we can achieve those purposes through other means, and the applicable legal requirements.

In some circumstances we may anonymise your personal data (so that it can no longer be associated with you) for research or statistical purposes in which case we may use this information indefinitely without further notice to you.

9. YOUR LEGAL RIGHTS

Where provided for under applicable data protection laws, you may have certain rights in relation to your personal data:

  • Request access to your personal data (commonly known as a "data subject access request"). This enables you to receive a copy of the personal data we hold about you and to check that we are lawfully processing it.
  • Request correction of the personal data that we hold about you. This enables you to have any incomplete or inaccurate data we hold about you corrected, though we may need to verify the accuracy of the new data you provide to us.
  • Request erasure of your personal data. This enables you to ask us to delete or remove personal data where there is no good reason for us continuing to process it. You also have the right to ask us to delete or remove your personal data where you have successfully exercised your right to object to processing (see below), where we may have processed your personal data unlawfully or where we are required to erase your personal data to comply with local law. Note, however, that we may not always be able to comply with your request of erasure for specific legal reasons which will be notified to you, if applicable, at the time of your request.
  • Object to processing of your personal data where we are relying on a legitimate interest (or those of a third party) and there is something about your particular situation which makes you want to object to processing on this ground as you feel it impacts on your fundamental rights and freedoms. You also have the right to object where we are processing your personal data for direct marketing purposes. In some cases, we may demonstrate that we have compelling legitimate grounds to process your personal data which override your rights and freedoms.
  • Request restriction of processing of your personal data. This enables you to ask us to suspend the processing of your personal data in the following scenarios: (a) if you want us to establish the data's accuracy; (b) where our use of the data is unlawful but you do not want us to erase it; (c) where you need us to hold the data even if we no longer require it as you need it to establish, exercise or defend legal claims; or (d) you have objected to our use of your data but we need to verify whether we have overriding legitimate grounds to use it.
  • Request the transfer of your personal data to you or to a third-party. We will provide to you, or a third-party you have chosen, your personal data in a structured, commonly used, machine-readable format. This right applies to automated personal data which you initially provided consent for us to use or where we used the personal data to perform a contract with you.
  • Withdraw consent at any time where we are relying on consent to process your personal data. However, this will not affect the lawfulness of any processing carried out before you withdraw your consent. If you withdraw your consent, we may not be able to provide certain products or services to you. We will advise you if this is the case at the time you withdraw your consent.

No fee usually required

You will not have to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee if your request is clearly unfounded, repetitive or excessive. Alternatively, we may refuse to comply with your request in these circumstances.

What we may need from you

We may need to request specific information from you to help us confirm your identity and ensure your right to access your personal data (or to exercise any of your other rights). This is a security measure to ensure that personal data is not disclosed to any person who has no right to receive it. We may also contact you to ask you for further information in relation to your request to speed up our response.

Time limit to respond

We will respond to all legitimate requests promptly and in accordance with timeframes and requirements set out within applicable laws.

10. LAWFUL BASIS FOR PROCESSING

Legitimate Interest means the interest of our business in conducting and managing our business to enable us to give you the best service/product and the best and most secure experience. We make sure we consider and balance any potential impact on you (both positive and negative) and your rights before we process your personal data for our legitimate interests. We do not use your personal data for activities where our interests are overridden by the impact on you (unless we have your consent or are otherwise required or permitted to by law). You can obtain further information about how we assess our legitimate interests against any potential impact on you in respect of specific activities by contacting us.

Performance of Contract means processing your data where it is necessary for the performance of a contract to which you are a party or to take steps at your request before entering into such a contract.

Comply with a legal or regulatory obligation means processing your personal data where it is necessary for compliance with a legal or regulatory obligation that we are subject to.

11. ADDITIONAL PRIVACY TERMS FOR CALIFORNIA RESIDENTS

In this section, we provide information for California residents, as required under California privacy laws. The CCPA requires that we provide California residents certain specific information about how we handle their personal information, whether collected online or offline. In this section, the terms “personal information” and “sensitive personal information” have the meaning set forth in the CCPA. It does not include publicly available data as defined by the CCPA. This section does not address or apply to our handling of personal information that is subject to an exemption under the CCPA. Except for the Right to Opt-out and the Right of Non-Discrimination, this section does not apply to California residents with whom we transact or communicate solely in the context of providing or receiving a product or service to or from a company that employs such residents or engages such residents as contractors. This section also does not apply to personal information we collect about job applicants, independent contractors, or current or former full-time, part-time and temporary employees and staff, officers, directors or stockholders of 10x Genomics, Inc. Information about our personal data collection and processing practices with respect to one of these categories, and an explanation of your privacy rights, will be provided to you in a separate privacy statement, as applicable and as required by law. Until any such separate statement is made available, personal information we collect from California job applicants is handled in accordance with this privacy notice, and California job applicants may exercise the rights described in this Section 11.

Notice at Collection and Categories of Personal Information that We Collect, Disclose, and Sell

The table below sets out generally the categories of personal information, including sensitive personal information (as defined by the CCPA) about California residents that we collect, use, sell, and disclose to others for business purposes. We collect these categories of personal information from the sources described in paragraph 3 above, and if we disclose it to any third parties, those parties are described in paragraph 5 above. Our collection, use and disclosure of personal information about a California resident will vary depending upon the circumstances and nature of our interactions or relationship with such resident. We also do not disclose or use sensitive personal information outside of the permissible uses identified within the CCPA and we do not use sensitive personal information to “infer” characteristics about you.

California Resident Rights

California law grants California residents certain rights and imposes restrictions on particular business practices. This section describes the rights you have and explains how to exercise those rights.

  • Right to Opt-out of Sale or Sharing of Personal Information. California residents have the right to opt-out of our sale or share of their personal information. Opt-out rights can be exercised by emailing privacy@10xgenomics.com, requesting an opt-out in person at our headquarters at 6230 Stoneridge Mall Road, Pleasanton, California 94588 or by accessing the Manage Cookie Preferences on our webpage, or by clicking on the “Do Not Sell or Share My Personal Information” link on our webpage. We do not knowingly “sell” or “share” the personal information of anyone who is younger than 16 years old.
  • Notice at Collection. At or before the point of collection of personal information, notice must be provided to California residents of the categories of personal information collected and the purposes for which such information is used.
  • Verifiable Requests. Subject to certain exceptions, California residents have the right to make the following requests, at no charge:
    • Request to Delete. California residents have the right to request deletion of their personal information that we have collected about them and to have such personal information deleted, except where an exemption applies.
    • Request to Correct. California residents have the right to request correction of inaccurate personal information that we maintain about them, taking into account the information’s nature and our purpose in processing that information.
    • Request to Know. California residents may make Requests to Know up to twice every 12 months. California residents have the right to request and, subject to certain exemptions, receive a copy of the specific pieces of personal information that we have collected about them in the prior 12 months and to have this delivered either (a) by mail or (b) electronically in a portable and, to the extent technically feasible, readily useable format that allows the resident to transmit this information to another entity without hindrance. California residents also have the right to request that we provide them certain information about how we have handled their personal information in the prior 12 months, including the following.
      • categories of personal information collected;
      • categories of sources of personal information;
      • business and/or commercial purposes for collecting and selling their personal information;
      • categories of third parties/with whom we have disclosed or shared their personal information;
      • categories of personal information that we have disclosed or shared with a third party for a business purpose;
      • categories of personal information collected; and
      • categories of third parties to whom the residents’ personal information has been sold and the specific categories of personal information sold to each category of third party.
    • Sensitive Personal Information Request. California residents have the right to limit the use or disclosure of their sensitive personal information, where collected and where provided for under applicable law.
  • Submitting Requests. Requests to Opt-out of Sale or Sharing of Personal Information, Requests to Know, and Requests to Delete may be submitted by contacting us at privacy@10xgenomics.com or in person at our headquarters at 6230 Stoneridge Mall Road, Pleasanton, California. We will respond to verifiable requests received from California consumers as required by law.
  • Right to Non-Discrimination. The CCPA prohibits discrimination against California residents for exercising their rights under the CCPA. Discrimination may exist where a business denies or provides a different level or quality of goods or services, or charges (or suggests that it will charge) different prices, rates, or penalties on residents who exercise their CCPA rights, unless doing so is reasonably related to the value provided to the business by the residents’ data.
  • Financial Incentives. A business may offer financial incentives for the collection, sale or deletion of California residents’ personal information, provided the incentive is not unjust, unreasonable, coercive or usurious, and is made available in compliance with applicable transparency, informed consent, and opt-out requirements. California residents have the right to be notified of any financial incentive offers and their material terms, and the right to opt-out of such incentives at any time; residents may not be included in such incentives without their prior informed opt-in consent. We do not offer any incentives at this time.

12. ADDITIONAL PRIVACY TERMS FOR CUSTOMERS AND USERS IN THE EUROPEAN UNION (EU), EUROPEAN ECONOMIC AREA (EEA), THE UNITED KINGDOM (UK), AND SWITZERLAND

In this paragraph 12, we provide specific information for users located in the EU, EEA, UK and Switzerland, as respectively required under the GDPR, the UK Data Protection Act 2018 (UK GDPR), and the Swiss Federal Act on Data Protection (Swiss FADP). This paragraph 12 complements the other paragraphs of this privacy notice which apply to customers and users located in the EU, EEA, UK and Switzerland unless stated specifically otherwise in this paragraph 12.

International transfers

Other than as set out in paragraph 6. above, the following information on international data transfers applies to users located in the EU, EEA, UK and Switzerland:

We process your personal data on servers located in the U.S.. With regard to any transfer of personal data from the EU, Switzerland or the UK onwards to any other country, for which there is no adequacy decision under GDPR, UK GDPR, or the Swiss FADP or within the U.S., we ensure that adequate level of protection is afforded by implementing the following safeguards: (i) in relation to your personal data that is protected by the GDPR or the FADP, the contractual clauses annexed to the European Commission's Implementing Decision 2021/914 of 4 June 2021 on standard contractual clauses for the transfer of personal data to third countries pursuant to Regulation (EU) 2016/679 of the European Parliament and of the Council (“EU SCCs”) and (ii) in relation to your personal data that is protected by the UK GDPR the EU SCCs, together with the UK Commissioner’s International Data Transfer Addendum to the EU SCC’s issued under s.119A(1) of the Data Protection Act 2018 or such alternative clauses as may be approved by the UK from time to time ("UK SCCs") will apply.

Right to lodge a complaint with a supervisory authority

As a user located in the EU, EEA, the UK or Switzerland you have the right to lodge a complaint with your local supervisory authority if you are of the opinion that our processing of your personal data is not in compliance with the applicable data protection laws.

No automated decision-making

We do not perform automated decision-making as part of the processing activities that produces legal effects or similarly significant effects on individuals covered by this privacy notice.

PART B. HOW WE PROTECT YOUR PERSONAL DATA WHEN YOU USE THE 10X GENOMICS CLOUD SERVICES

This part B. of the privacy notice provides information on how we collect and process personal data in connection with your use of our 10x Genomics Cloud services (e.g., Cloud Analysis, Cloud Instruments, Custom Panel Designer etc.). This part B. supplements part A. of the privacy notice and is not intended to override it. If this part B. does not provide specific information on a certain topic, the information provided for that topic in part A. applies.

Note: If you are a Customer Human Clinical Subject (as defined below) or another natural person whose data is processed by our customers and have questions or want to exercise any of your rights regarding your personal data, you should direct your inquiry to the relevant 10x Genomics customer. If you contact 10x Genomics directly for these purposes, we are required to inform the relevant 10x Genomics customer (if we can identify them from the contact details you provided) and ask them to deal with your request. Please refer to the privacy notice of our respective 10x Genomics customers for further information.

1. OUR ROLE WHEN YOU USE THE 10X GENOMICS CLOUD SERVICES

10x as a Service Provider

We act as service provider and data processor when processing any data, information, or materials submitted by you as our user to our 10x Genomics Cloud services.

10x Genomics users are natural persons such as individual researchers or researchers belonging to a research organization who use our 10x Genomics Cloud services to process information relating to their patients and other individuals ("Customer Human Clinical Subjects"). Under the 10x Genomics Cloud Service Terms (Section 7.4), our users warrant that such data, information, or materials, including sequence information or other biological data, do not constitute or include personal data with respect to Customer Human Clinical Subjects or other natural persons. In any event, 10x Genomics processes any personal data relating to Customer Human Clinical Subjects which users may submit to our 10x Genomics Cloud services only according to their instructions as a processor. This privacy notice does not apply to such processing by 10x Genomics as a processor.

10x as a Controller

This part B. of the privacy notice applies with regard to personal data relating to you as a user which we collect, or you provide to us in connection with your use of our 10x Genomics Cloud services and which we use to perform the contract and to manage the relationship with you as the user. 10x Genomics processes such personal customer data as controller. See below (No. 2.) for further details on the type of personal data which we process as controller.

2. PERSONAL DATA WHICH WE PROCESS

We collect and process the following categories of personal data about you as user of our 10x Genomics Cloud services:

  • User Identity Data includes first name and last name of the users.
  • User Contact Data includes the email address of the users.
  • User Account IDs include a unique identifier for each user account.
  • User Financial Data includes billing address and user address. All payment details, including bank account and payment card details as well as transaction data are directly and solely collected by our payment service provider.
  • Technical Data includes internet protocol (IP) address and user login data.
  • Usage Data includes any data and information related to your use of our 10x Genomics Cloud services.

3. HOW WE COLLECT PERSONAL DATA

We use different methods to collect data from and about you as the user of our 10x Genomics Cloud services through:

  • Direct interactions. You provide us with User Identity Data, User Contact Data and User Financial Data when registering an account with us, by filling in forms or by corresponding with us by post, phone, email or otherwise. This includes without limitation, any personal data you provide when you: fill out any on-line order form; create an account for our 10x Genomics Cloud services, including completing any customer or visitor registration; submit on-line enquiries or requests for product and/or service information; and/or apply for our products or services.
  • Automated technologies or interactions. As you interact with our 10x Genomics Cloud services, we may automatically collect Technical Data and Usage Data about your use of our 10x Genomics Cloud services.

4. HOW WE USE PERSONAL DATA

We will only use your personal data in accordance with applicable data protection laws. Most commonly, we will use your personal data in the following circumstances:

  • To provide our 10x Genomics Cloud services and to fulfill the respective contract with you.
  • Where it is necessary for our legitimate interests (or those of a third party) and the data subjects’ interests and fundamental rights do not override those interests.

We do not rely on consent as a legal basis for processing your personal data.

5. DISCLOSURES OF YOUR PERSONAL DATA

We may share your personal data with the parties set out below for the purposes set out in the table in part B. paragraph 4 above.

Internal third parties - Other companies in the 10x Genomics Group acting as joint controllers or processors and who are based in the US.

External third parties:

  • Service providers based in the US who provide IT and system administration services, including:
    • Service providers for hosting of our services, performing user authentication and account management and email notifications.
    • Service providers for payment and billing services.
    • Service providers for marketing and analytics services.
    • Service providers for security and support services.
  • Professional advisers acting as processors or joint controllers including lawyers, bankers, auditors and insurers based in the US and in the European Region who provide consultancy, banking, legal, insurance and accounting services.
  • United States revenue & customs, regulators and other authorities acting as processors or joint controllers based in the United States who require reporting of processing activities in certain circumstances.

We require all third parties to respect the security of your personal data and to treat it in accordance with the law. We do not allow our third-party service providers to use your personal data for their own purposes and only permit them to process your personal data for specified purposes and in accordance with our instructions.
